We would like to inform you of the official launch, on June 16, 2026, of a new tax obligation: the Central Register of Ultimate Beneficial Owners (RCBE).

This declaration applies to any individual holding control of a company in Madagascar.

Please note that there are no fees associated with this filing; it is simply an information submission to the tax authorities through a representative, specifically your dedicated project manager at MDG Services.

1. Definition of the ultimate beneficial owner

The ultimate beneficial owner is the natural person or persons who ultimately exercise effective control over an entity.

For a company, this includes in particular :

  • Persons holding, directly or indirectly, at least 25% of the capital (5% for mining companies) or voting rights
  • Persons exercising control through other means (decision-making power, appointment of officers, significant influence)
  • As a last resort, of the chief executive officer or legal representative

The following entities are subject to this ultimate beneficial ownership reporting requirement: all private sector legal entities operating in Madagascar, including:

  • Commercial companies;
  • Civil companies;
  • Cooperatives;
  • Economic Interest Groupings (EIGs);
  • Associations;
  • Non-Governmental Organizations (NGOs);
  • Foundations;
  • As well as any other private sector legal entity registered and operating in Madagascar;

Are not concerned :

  • Sole proprietorships;
  • State-owned enterprises whose capital is 100% owned by the State;

2. Prepare the required information and supporting documents

Beneficial owner information: identity, address, nationality, occupation, identification number, percentage of ownership or nature of control.

Gather supporting documents: articles of association, trade register extract (RCS), statistical card, national ID card/passport, proof of address, proof of control exercised.

Joining the platform

Designate a representative responsible for completing the online declaration. The required documents are:

  • A copy of the representative’s national ID card;
  • An authorization issued by the company in the form of a request, duly certified;

After the application is submitted on the platform, a validation email is sent by the platform to executive manager No. 1 registered in NIFONLINE so they can proceed with validating the request.

Attach the requested supporting documents

N.B.: For a company in the process of incorporation, the declaration of beneficial owners must be completed as part of the company creation process, as soon as the necessary information is available (identity of the partners, distribution of capital, beneficial owners). This declaration is made when submitting the declaration of existence or within 30 days following the incorporation of the company, via the platform.

3. File the declaration with the DGI

Submit the ultimate beneficial owner (UBO) declaration online via the platform provided by the tax authority.

4. Obtain the declaration certificate

Upon validation, a certificate is issued to the entity to prove compliance with this obligation.

5. Maintain and keep the special register of beneficial owners

  • Set up the register at the company level (in both physical and electronic formats);
  • Update the information in the event of any changes;

6. Comply with updates and controls

  • Any change regarding the ultimate beneficial owners must be declared;
  • The Tax Authority (DGI) may audit the information and request supporting documents;

We are now awaiting the official communication from the DGI regarding the deadline, but your project manager is already handling your registration on the platform.
